SocialGlob Terms of Service

This SocialGlob Terms of Service Agreement (the "Agreement" or "Terms of Service") is entered into between SocialGlob.com, ("SocialGlob", "we", "us" or "our") and you, our customer. ("you" or "your"). This Agreement governs your use of websites, applications and embeddable video players owned and operated by SocialGlob (collectively, the "Services"). This includes our SocialGlob services, SocialGlob Livestream, but not our external services which are governed by separate online agreements.

SocialGlob's goal is to empower users to create communities and make the world more united. To achieve this, SocialGlob provides you with SocialGlob Products and the services described below:
Provide a personalized user experience:
the experience on SocialGlob is unique for each user, from posts, stories, events, advertisements and other content displayed in the News section of SocialGlob or on the video platform to the SocialGlob Pages followed and other functions that could be used (eg. SocialGlob Marketplace and search). For example, we use data regarding the connections made by the user, the choices and settings adopted and what the user shares and does inside and outside our SocialGlob Products to personalize the user experience.
Connect the user with people and organizations of interest:
we help you find and connect with people, groups, companies, organizations and other individuals of interest in the SocialGlob Products you use. We use the data to offer suggestions to you and others (e.g. groups to join, events to participate in, SocialGlob Pages to follow or message to, programs to watch, and people you may want to hang out with. friendship). Stronger ties improve communities and we believe our services are most useful when they allow you to connect people to other people, groups and organizations of interest.
Possibility of expressing oneself and communicating in relation to the topics of interest of the user:
SocialGlob offers many ways to express yourself and to communicate with friends, family and others on topics that interest you: for example, sharing status updates, photos, videos and stories about the SocialGlob Products in use (consistent with your settings) , send messages, make calls or video calls with a friend or with several people, create events or groups and add content to your profile; in addition, it is possible to access insights relating to people's interactions with user content. We have also developed (and continue to explore) new ways to leverage technology, such as augmented reality and 360 video to create and share more expressive and engaging content.
Discovery of content, products and services that may be of interest to the user:
we show you personalized advertisements, offers and other sponsored or commercial content that allow you to discover content, products and services offered by various companies and organizations that use SocialGlob and other Products.
Promote the safety, security and integrity of our services, fight against harmful behavior and the safety of our user community:
People only create communities on SocialGlob if they feel safe and secure. We strive to ensure the protection (including availability, authenticity, integrity and confidentiality) of our SocialGlob Products and services. We employ dedicated teams around the world, collaborate with partners, external service providers and other relevant entities, develop advanced technical systems to detect potential misuse of our Products, harmful behavior towards others and situations in which we may be able to help to support or protect our community, including to respond to user reports in the event of a potential breach. If we become aware of content or conduct of this type, we will take appropriate measures: by notifying the user, offering help, removing content, removing or limiting access to certain functions, disabling an account or contacting law enforcement. We share data with other companies when we detect misuse or harmful behavior in the use of our system or to ensure the safety of the Products, users and the community. For example, we share information with SocialGlob companies that provide financial products and services to help them promote safety, security and integrity and comply with applicable laws. SocialGlob may access, store, use and share information collected about you if it believes in good faith that the law provides or allows it. For more information, the user can consult our Privacy Policy.
Use and development of advanced technologies to provide safe and functional services to all:
SocialGlob leverages and develops advanced technologies, such as artificial intelligence, machine learning systems and augmented reality, to enable users to use their SocialGlob Products safely, regardless of their physical abilities or geographic location. These technologies, for example, help users with visual impairments to understand the contents or subjects of a photo or video shared on SocialGlob. We also build sophisticated communications networks and technologies to help more people connect to the Internet in areas with limited access. And we develop automated systems to improve our ability to protect the community and SocialGlob.
Search for ways to improve your services:
SocialGlob is committed to research aimed at developing, testing and improving its Products. This includes analyzing data about our users and understanding how users use our Products, for example through surveys and tests and with troubleshooting of new features. Our Privacy Policy explains how data is used to support research to develop and improve our services.
Delivering consistent, seamless experiences across SocialGlob Products.
SocialGlob Products help you find and connect with people, groups, companies, organizations and other stakeholders. We design our systems to provide you with a consistent and seamless experience across the various SocialGlob Products you use. For example, we use data relating to the people with whom the user interacts on SocialGlob to make it easier to connect with them and we offer the possibility to communicate with the companies followed on SocialGlob through messages.
Guarantee of access to our services:
to operate our services and enable you to connect with other people globally, we must transfer, store and distribute content and data between our data centers, partners, service providers, suppliers and systems around the world, including outside the user's country of residence. The use of this global infrastructure is necessary and essential to provide our services. This infrastructure can be owned, operated or controlled by SocialGlob.

Who can use SocialGlob
When opinions and actions are attributable to people, our community is safer and more responsible. For this reason, the user is required to:
use the same name for your account as you use in real life;
provide accurate personal information;
create a single account and use it for personal purposes;
do not share your password, do not grant access to your SocialGlob account to others or transfer your account to others, without the authorization of SocialGlob.
Our goal is to make SocialGlob available to everyone, but its use is prohibited in the following cases:
For users under the age of 18
For users convicted of sexual assault
For users whose account has been previously disabled for violating our Terms, Community Standards, or policies and conditions that apply to their use of SocialGlob. In the event that your account is disabled due to a violation of our Terms, Community Standards or other terms and regulations, you agree not to create another account without our permission. Authorization to create a new account is given in our sole discretion and does not mean or imply that the disciplinary action was incorrect or unjustified.
For users not authorized by applicable law to receive our products, services or software
2. Shareable Items and Authorized Conduct in SocialGlob Products
We want people who use SocialGlob to be able to express themselves and share content that is important to them, but without compromising the safety and well-being of others or the integrity of our community. Therefore, you agree not to adopt the conduct described below (or to facilitate or support others in adopting them):
You may not use SocialGlob.com to conduct conduct or share the following content:
Content contrary to these Terms, Community Standards, and other terms and regulations applicable to your use of our Products.
Content that is unlawful, misleading, discriminatory or fraudulent (or content that encourages a person to use our Products in this way).
Content that is not owned by you or which you do not have the rights to share.
Content that violates the rights of others, including intellectual property rights (for example, that violates the copyright or registered trademark of others or that consists in the distribution or sale of counterfeit or pirated materials), except for specific exceptions or limitations provided for by applicable law.
You may not upload viruses or malicious code, use the services to send spam, or do anything else that may disable, overload, interfere with or prevent the proper functioning, integrity, operation or appearance of our services. , systems or Products.
You may not access or collect data from our Products using automated means (without the prior authorization of SocialGlob) or attempt to access data that you do not have permission to access. We also reserve all our rights in relation to data and text mining.
You may not request, collect or use Product usernames and passwords on behalf of another user, or misappropriate access tokens.
You may not sell, license or purchase data obtained from us or our services, except as provided in the Platform Terms.
You may not misuse channels to report, dispute or appeal, for example by submitting fraudulent, repetitive or unfounded reports or appeals.
We can remove or block content that violates these provisions. We can also suspend or disable your account due to a violation of these provisions. We can block IP.
If we remove user-shared content due to a violation of the Community Standards, we will notify you and explain the options available to you to request a review, unless you seriously or repeatedly violate these Terms or in the if removal exposes SocialGlob or others to legal liability, damages our community of users, compromises or interferes with the integrity or operation of our services, systems or Products, there are restrictions due to technical limitations, or it is prohibited to do so for legal grounds.
To support our community, we encourage you to report content or conduct that, in your opinion, violates your rights (including intellectual property rights) or our terms and regulations, if this feature is provided in your jurisdiction.
We may also remove or limit access to your content, services, features or information, if we determine that such action is reasonably necessary to avoid or reduce the misuse of our services or negative repercussions or legal consequences on SocialGlob.
3. Permissions granted by the user to SocialGlob
The user must grant certain permissions to allow SocialGlob to provide its services:
Permissions to use content created and shared by the user: Some content shared or uploaded by the user, such as photos or videos, may be protected by intellectual property laws.
The user is the owner of the intellectual property rights (aspects such as copyrights or registered trademarks) of the content that he creates and shares on SocialGlob and on the other products of the SocialGlob companies that he uses. Nothing in these Conditions deprives the user of the rights he owns in relation to his own contents. The user is free to share their content with anyone, wherever they want.
However, you must grant us, for the provision of our services, certain legal permissions (known as "licenses") for the use of the content in question. This is done for the sole purpose of providing and improving our Products and services, as described in Section 1 above.
Specifically, when you share, post or upload content protected by intellectual property rights in connection with or in connection with our Products, you are granting a non-exclusive, transferable, sub-licensable, royalty-free and valid throughout the world for the storage, use, distribution, modification, execution, copying, public execution or display, translation and creation of derivative works of its contents, respecting the privacy and the settings of the user's app. This implies, for example, that if you share a photo on SocialGlob, you authorize us to store it, copy it and share it with other subjects, always respecting your settings, such as providers of services or products of SocialGlob that support these products and services. This license will cease to exist once your content is deleted from our systems.
You can delete individual content that you share, post and upload at any time. Also, all content posted on their personal account will be deleted if the user deletes the account. Learn more about how to delete your account. Deleting your account does not automatically delete content that you post as a Page administrator or content you collectively create with other users, such as photos in Shared Albums that may continue to be visible to other album members.
It may take up to 90 days to delete content after the account deletion process begins or after receiving a content deletion request. During the process of deleting content, it is no longer visible to other users. Once the contents are deleted, removal from the backup and disaster recovery systems may take an additional 90 days.
Content will not be deleted within 90 days of starting the content and account deletion process in the following situations:
Your content has been used by other users in accordance with this license and has not been deleted, in which case, this license will continue to apply until the content is deleted.
Deletion of content within 90 days is not feasible due to technical limitations of our systems. In this case, we will complete the deletion as soon as technically possible.
In cases where immediate deletion would limit our ability to:
identify or investigate illegal activities or violations of SocialGlob conditions and regulations, for example: identify or investigate misuse of our Products or systems;
protect the security and integrity of our Products, systems, services, employees and users, as well as defend SocialGob.com itself;
comply with legal obligations for the retention of evidence, including data stored by SocialGlob companies that provide financial services and products in compliance with the record keeping obligations required by law; or comply with a request from judicial or administrative authorities, law enforcement or government agencies.
In these cases, the contents will be kept for a period not exceeding what is necessary in relation to the purposes for which they were kept, the exact duration will vary according to the situation.
In each of the above cases, the license will continue to exist until the content is completely deleted.
Authorization to use your name, profile picture and information relating to your actions in connection with advertisements and sponsored or commercial content: you authorize us to use your name, profile picture and information relating to actions undertaken on SocialGlob in connection with or in connection with advertisements, offers and other sponsored or commercial content that we display within our Products, without any remuneration for the benefit of the user himself. For example, we may show your friends your interest in a sponsored event or the fact that the user has "liked" a SocialGlob Page created by a brand that has paid us to show ads. on the platform. Ads and content of this kind can only be viewed by individuals who have the user's authorization to view their actions on SocialGlob Products. You can find out more about your ad settings and preferences.
Authorization to Update Your Software in Use or Download: If you download or use our software, you grant SocialGlob authorization to download and install software updates, where available.
4. Limitations on Use of SocialGlob Intellectual Property
If the user uses content covered by intellectual property rights owned by SocialGlob and made available in the SocialGlob Products, for example: images, projects, videos or sounds provided and which are added by the user to the content created or shared on SocialGlob, SocialGlob reserves all rights relating to such content, excluding those of the user. You may use SocialGlob's copyrights or trademarks (or any similar trademark) only as expressly permitted by the Brand Use Guidelines or with the prior written permission of SocialGlob. You must obtain our written permission (or permission under an open source license) to modify, translate, create derivative works, decompile or reverse engineer products or components, or otherwise seek to obtain the our source code, unless otherwise specified or limited by applicable law.

SocialGlob Terms Update
We are constantly working to optimize our services and develop new functions that can improve the Products for you and for our community. As a result, we may need to update these Terms from time to time to accurately reflect our services and practices, promote a safe experience on our Products and services, and / or comply with applicable law. We will make changes only if the provisions are no longer appropriate or if they are incomplete and only in cases where such changes are reasonable to you and take due account of your interests or where such changes are required for protection and safety or in compliance with applicable laws. Notice will be posted and emailed when and if these Terms and Conditions change.

Notice: Section 11 of this Agreement contains a mandatory ARBITRATION AGREEMENT for certain privacy claims that you or SocialGlob may make. By using our Services and accepting this Agreement, you (1) agree to the binding arbitration of these claims before a neutral arbitrator; and (2) waive your rights to go to court, ask a jury to hear your case, or participate as part of a class dthe plaintiffs with respect to those claims.
By creating an account, viewing videos, making a purchase, downloading our software, or visiting or otherwise using our Services, you agree to this Agreement and agree to enter into a contract with us electronically.

If you are an entity other than a natural person, the person who registers the account or otherwise uses our Services must have the authority to bind the entity. In this context, "you" means both the entity and each person authorized to access the account.

We may update this Agreement by posting a revised version on our website. By continuing to use our Services, you agree to any amended Agreements.

This Agreement includes our Privacy Policy and the additions listed in Section 12 below. See our Privacy Policy to learn about the information we collect from you, how we use it and who we share it with.

2. Our services
Service License: Under the terms of this document, we grant you access to our Services. This includes the right to:

Play streaming video that you have the right to view;
Upload, archive and / or live stream video, based on your plan;
Embed our embeddable video player on third party websites; and Use any related functionality we may provide.
Features: The features available to you will depend on your plan. We may change the features from time to time. If you have a paid account, we are committed to providing your plan's core video streaming and hosting capabilities (including bandwidth and storage capacities stated at the time of purchase) during the current service period.

Bandwidth: The allowed bandwidth included in the self-service plan applies to aggregate bandwidth usage across all self-service accounts you control. You can't get around bandwidth limits by opening multiple accounts. If you exceed the allowable bandwidth, we may, at our discretion, charge fees for excessive usage, request an upgrade to a more suitable plan, or terminate your accounts on written notice. Video Creation Tools: We may allow you to use SocialGlob Create, our video creation tools. Your use of SocialGlob Create is governed by our SocialGlob Create Addendum.

Transactions: We may offer digital goods for sale. SocialGlob On Demand video purchases are governed by our SocialGlob On Demand Viewer Agreement. Purchases of SocialGlob Stock footage and licenses are governed by our SocialGlob Stock License Agreement.

Monetization: We may allow you to sell digital goods or earn money through advertising. Your video sales are governed by our Seller Addendum. If you are a company based in the European Union and you use our "SocialGlob" platform to deliver content to consumers located in the European Union, our EU Seller Addendum applies.

Downloadable Software: We may offer device applications ("Apps") directly or through third party stores. Subject to your compliance with these Terms of Service, SocialGlob grants you a limited, non-exclusive, non-transferable and revocable license to download and use the Apps. From time to time we may update the Apps to add new features and / or fix bugs. You need to make sure you are using the latest version of the App compatible with your device. We cannot guarantee that you will be able to use the latest version of the app on your device. Apps offered through third party stores are subject to our Third Party Services Addendum.
Developer Tools: We may offer Application Programming Interfaces ("APIs") that allow developers to create applications connected to our Services. Our APIs and related documentation are governed by our API License Addendum.

Business Services: We may offer Services under an individually negotiated agreement. Business Services are governed by our Business Terms.

Beta Services: We may invite you to try beta, pilot, or limited release features ("Beta Services"). By using any Beta Service, you agree that (a) the Beta Services are not intended for commercial use, may be modified or discontinued at any time, may contain bugs or errors, and are not subject to uptime, support or other commitments at the of service ; and (b) you will provide timely feedback to SocialGlob and use the Beta Services only for the purpose of providing such feedback.

Third parties: We may provide links and integrations with websites or services operated by others. Your use of each such website or service is subject to its terms of service and our Third Party Services Addendum.

Accounts
Registration: You can create an account to use some features we offer (for example, upload or stream live video). To do this, you need to provide an email address. By creating an account, you agree to receive communications from SocialGlob at this email address. You must keep your email address valid and up to date so that we can contact you.

Organizational Accounts: Business, government, and other organization users must publicly display their entity's legal name on their public account profile.

Age Requirements: You must be at least 16 years old or the age of majority applicable in your jurisdiction, whichever is greater, to create an account or otherwise use our Services. If you wish to use the Services for commercial purposes, you must be at least 18 years old. Individuals below the applicable age may use our Services only through the account of a parent or legal guardian and with their involvement. Before proceeding, ask that person to read this Agreement with you and agree to it.

Parents and Guardians: By giving your child permission to use the Services through your account, you agree and understand that you are responsible for monitoring and supervising your child's use. If you believe your child is using your account and does not have your permission, please contact us immediately so we can disable access.

Team Members: Some subscription plans may allow you to grant other users ("team members") access to your account. Each team member must create an account with their own login credentials. Both you and each member of the team are considered a party to this Agreement. You are responsible for the actions of your team members and must monitor their access and usage.

Account Security: You are responsible for all activities that occur under your account, including unauthorized activities. You must safeguard the confidentiality of your account credentials and you cannot share your account credentials with anyone. If you are using a computer that others have access to, you must log out of your account after each session. If you become aware of unauthorized access to your account, you must change your password and notify us immediately.

4. Subscription plans
Plan types: We offer free memberships and paid memberships that allow you to upload and share video content. You can purchase a "Self-Serve" plan (sign up and pay online) or an "Enterprise" plan (work with a sales rep and execute a custom contract). Prices and advertised features may change.

Free Accounts: Free members can't submit videos they haven't created or play a material role in the creation.

Fees: You must pay all fees (plus any taxes) during the subscription period and any renewal period. Our rates may include a flat monthly or annual fee plus variable transaction or usage fees. We may adjust the fees from time to time. We will try to notify you in advance of such rate changes before your next billing cycle. If you do not wish to accept a rate change, you can cancel your subscription in accordance with this Agreement.

Free Trials and Discounts: We can offer free trials or discounted subscriptions. At the end of a free trial period, your paid subscription begins (unless you have canceled it) and you must pay the full monthly or annual fee. If we provide a o discount for the first subscription period, you have to pay the discounted rate; in each renewal it is necessary to pay the entire fee.

Refund Policy: Under the terms of this document, Self-Service subscribers who purchase plans directly from SocialGlob may cancel and receive a full refund of their initial purchase within thirty (30) days of purchasing an annual plan and five ( 5) days after purchasing a Monthly Plan. Our refund policy does not apply to:
In-app purchases;
Fees charged immediately at the end of a free trial period;
Attempt to abuse the refund policy (e.g. by signing up and requesting refunds repeatedly);
Renewal of subscriptions or migrations to other plans;
Commissions other than annual or monthly subscription fees;
Requests made after the terms indicated;
Customers who have violated this Agreement or whose accounts have been closed in accordance with our Copyright Policy;
Customers who have signed up using a promotion that has expressly excluded our refund policy;
Customers who have initiated a dispute relating to the chargeback; or
Enterprise plan customers.
Automatic Renewal: To the extent permitted by applicable law, subscriptions automatically renew at the end of each subscription period, unless canceled early. Monthly plans renew for periods of 30 days. Annual plans renew for periods of one year. You must pay the annual or monthly fee (plus any taxes) at the beginning of each renewal period. Unused storage space, bandwidth and other usage limits are not carried over.

How to decline renewal: Self-service subscribers can turn off automatic renewal by changing their account settings. Customers on a higher subscription plan may opt out under the Enterprise Terms. Any waiver or notice of non-renewal will not affect the current subscription period. SocialGlob may decline renewals.

Expiration Policy: Upon termination of a subscription, the account, at SocialGlob's discretion, will revert to a free subscription or be deleted. Any content in the account can be deleted to comply with the restrictions of the new account status. You are responsible for the storage of your content. SocialGlob will not be responsible for the loss of any content. We may publish additional guidelines regarding the handling of expired subscriptions. These guidelines describe current practices only and do not require SocialGlob to provide any post-subscription account status level.

In-App Purchase: We may allow you to purchase subscriptions within apps. When you make such "in-app" purchases, you will be charged by the app platform, not by us. To deactivate the automatic renewal of subscriptions, access the account settings of your platform (not SocialGlob). Our refund policy does not apply to in-app purchases. Any billing requests must be directed to the app platform.
Resale: You may not sell, resell, rent, lease or distribute any plans or any other aspect of our Services to any third party unless authorized by us in writing. We may suspend or terminate accounts sold through authorized resellers for non-payment to the reseller or for any violation of the restrictions set forth in this Agreement.

5. Acceptable Use Policy
We may allow you to create, upload, stream, post or publish (collectively, to "post") content such as videos, recordings, images and text (collectively, "content"). You must ensure that your content and conduct comply with the Acceptable Use Policy set forth in this Section 5. SocialGlob may (but is not obligated to) monitor your account, content and conduct, regardless of your settings. on privacy. SocialGlob may remove or restrict access or availability to any content or account that it deems in good faith to violate this Acceptable Use Policy.

5.1 Copyright Policy
You can only upload content that you have the right to upload and share. Copyright owners may send SocialGlob a takedown notice as set out in our Copyright Policy if they believe SocialGlob is hosting illegal material. In appropriate circumstances, we will close the accounts of people who violate repeatedly.

5.2 Content Restrictions
You cannot submit any content that:

You violate the copyrights or other rights of third parties (e.g. trademarks, privacy rights, etc.);
is sexually explicit or promotes sexual service;
it is defamatory;
is harassing or offensive;
Contains hate speech or discriminatory talk;
Promote or support terrorist or hate groups;
Contains instructions on how to assemble explosive / incendiary devices or homemade / improvised firearms;
Exploits or endangers minors;
Depicts or encourages self-harm or suicide;
Depicts (1) illegal acts of extreme violence in the real world, (2) vivid, realistic or particularly explicit acts of violence and brutality, (3) sexual assault, including rape, torture, abuse and humiliation, or (4) animal cruelty or extreme violence against animals;
Promote fraudulent or dubious earning schemes, propose an illegal transaction or use deceptive marketing practices;
Contains false or misleading claims about (1) vaccination safety or (2) health-related information that has serious potential to cause individual or public harm;
Contains false or misleading information about the vote or tries to obstruct the vote;
Contains (1) statements that a tragedy has not occurred in the real world; (2) false claims that a violent crime or catastrophe has occurred; or (3) false or misleading information (including false news, deep fakes, propaganda or unsubstantiated or disproved conspiracy theories) that creates a serious risk of material harm to an individual, group or the general public; or
Violates any applicable law.

Code of Conduct
By using our Services, you cannot:
Use an offensive screen name (e.g. explicit language) or avatar (e.g. containing nudity);
Acting deceptively or impersonating any person or organization;
Harass or harass any person;
Harm or exploit minors;
Distribute "spam" in any form or use misleading metadata;
Collect personal information about others without their permission;
Access another's account except as permitted herein;
Use or export any of our Services in violation of any US law;
Acting to subject SocialGlob to industry-specific privacy regulations, such as the Health Insurance Portability and Accountability Act (HIPAA) or the Gramm-Leach-Bliley Act (GLBA);
Engage in any illegal activity;
Embed our video player or provide links to sites that contain content prohibited by Section 5.2; or
Encourage or encourage others to do one of the above.
5.4 Prohibited technical measures
You will not:

Except as authorized by law or permitted by us in writing: scrape, reproduce, redistribute, frame, mirror, create derivative works, decompile, reverse engineer, alter, archive or disassemble any part of our Services; or attempt to circumvent our security measures, rate limiting, filtering or digital rights management;
Remove or modify any logo, watermark or proprietary rights notice incorporated on or in the Services or any output thereof without our permission;
Submit any malicious programs, scripts or code;
Send an unreasonable number of requests to our servers; or
Take any other action to manipulate, interfere or damage our Services.
5.5 Restricted Users
You cannot use our Services if:

they are a terrorist or hate group or a member thereof;
have been designated by a United States agency as an entity we may not contract with (for example, a specially designated citizen); or
are subject to sanctions by any government so that we would be required to block your videos in a substantial number of countries where we provide the service.
You cannot purchase software goods or services from us if that would violate the law. You hereby declare that you comply with the above restrictions.

5.6 Accessibility and evaluations
We provide means for you to include subtitles in your videos. If required by applicable law, you must provide subtitles in your videos.

We may allow you to filter videos based on their user-defined content classification. We cannot guarantee that videos will be rated appropriately by others. You need to rate your videos appropriately.

6. Licenses granted by the user
As between you and SocialGlob, you own and will retain ownership of all intellectual property rights in the content you submit. To allow SocialGlob to host and stream your content, grant SocialGlob the permissions listed below.

6.1 Your video content
Under the terms of this document, by submitting a video, you grant SocialGlob permission to:

Stream video to end users;
Embed the video on third party websites;
Distribute the video via our API;
Make the video available for download;
Transcode the video (create compressed versions of your video file optimized for streaming);
Generate still images (eg "thumbnails") from your video to represent it (if you haven't selected one);
Automatically generate and display subtitles or subtitles from your video; And
Edit or enhance your video as directed by you.
If you have enabled a video privacy setting or disabled downloading or embedding, we will limit the distribution of your video based on your selection. By enabling third-party access to your video, you grant each of these individuals permission to stream (and / or download or embed, as appropriate) your video. For the purposes of this Section 6.1, your video includes title, description, tags and other metadata.

The license period begins when you submit the video to SocialGlob and ends when you or SocialGlob delete it; provided that SocialGlob can keep the archive copies: (a) for a limited period of time in case you wish to restore it; (b) when the video is the subject of a takedown notice or other legal complaint; or (c) when SocialGlob in good faith believes it is legally required to do so.

6.2 SocialGlob Create Content
You can send us certain content for the purpose of creating a video using SocialGlob Create. These submissions and resulting videos are governed by our SocialGlob Create Addendum.
Account profile
Grant SocialGlob the perm it to use your name, likeness, biography, trademarks, logos or other identifiers used by you in your account profile for the purpose of displaying such properties to the public or to the public you have specified. You can revoke this permission by deleting your account. SocialGlob will have the right to identify public profiles in its marketing and investor materials.

6.4 Feedback
You can provide comments, suggestions or other feedback on our Services. You grant SocialGlob a perpetual and irrevocable right and license to use, copy, transmit, distribute, publicly perform and display such feedback in any way without compensation to you.

6.5 Scope of Licenses
All licenses granted by you in this Section 6: (a) are non-exclusive, worldwide and royalty-free; (b) include the right and license to copy, use, distribute, publicly perform and display the licensed work for the purposes set out above; and (c) include all rights and licenses necessary to enable us to exercise our rights and perform our obligations. By granting these licenses, you are giving up any so-called "moral rights" you may have. Nothing in this Agreement will be considered a license "condition" applicable to SocialGlob; rather, any breach of a term by SocialGlob of this document will give rise, at most, to a claim for breach of contract alone. All licenses granted here are in addition to any other licenses you may grant (for example, a Creative Commons license).

7. Your obligations
7.1 Representations and Warranties
For any content sent to or through SocialGlob, you represent and warrant that:

You have the right to submit the content to SocialGlob and to grant licenses herein;
SocialGlob will not need to obtain licenses from third parties or pay royalties to third parties in connection with streaming or other permitted distribution of the content;
You have obtained appropriate releases (if necessary) from all persons appearing in the content;
The content will not and will not infringe the rights of third parties, including intellectual property rights, publicity rights, moral rights and privacy rights; And
The content complies with this Agreement and all applicable laws.
7.2 Indemnification
You will indemnify, defend and indemnify SocialGlob and its subsidiaries, mothers and affiliates, and their respective directors, officers, employees and agents, from and against all claims, demands, claims, damages, losses, costs, liabilities and expenses , including legal fees, arising from or relating to: (a) content sent to or through the Services; and (b) allegations of acts or omissions on your part that (no matter if proven) would constitute a violation of this Agreement.

8. Term and Termination
This Agreement begins when you first use our Services and continues as long as you use our Service or have an account with us, whichever is longer. Paid accounts will continue for the subscription period and will renew in accordance with Section 4 above. For users who do not have a subscription plan (i.e. free users), (a) SocialGlob may terminate this Agreement at any time by providing thirty (30) days written notice and (b) applicable users may terminate at any time by deleting their accounts.

In the event of a breach of this Agreement, SocialGlob may, in its discretion: (a) terminate this Agreement immediately, with or without written notice; (b) suspend, delete or restrict access to your account (and other accounts you control) or any content within it; and (c) to the extent permitted by applicable law, withhold any amounts owed to you (which you lose). If SocialGlob deletes your account for infringement, you may not re-register.

Upon termination or expiration, the following sections will survive: Section 6.4 (Other Content; Feedback), Section 7.2 (Indemnification), Section 9 (Disclaimer), Section 10 (Limitation of Liability), Section 11 (Disputes, Arbitration, and Choice of Law) and Section 12 (General Provisions).

SocialGlob PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. You need to provide your own device and internet access.

EXCEPT AS EXPRESSLY STATED HERE AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, SocialGlob DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Among other things, SocialGlob makes no representations or warranties:

That our Services, or any part of them, will be available or consentities in your jurisdiction, uninterrupted or error-free, completely secure or accessible from all devices or browsers;
That we will host, make available or remove any specific content;
Regarding any content posted by or actions of our users;
That any geofiltration or digital rights management solution we may offer will be effective;
That we comply with the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach-Bliley Act (GLBA) or any other industry-specific privacy obligations;
That our Services meet your business or professional needs;
That we will continue to support any particular features or maintain backward compatibility with any third party software or device; or
Regarding any third party websites and resources.
10. Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) SocialGlob WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNCTUAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF BUSINESS, PROFITS, GOODWILL, DATA OR OTHER LOSSES, EVEN SOCIAL AND IMMATERIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) SocialGlob's TOTAL LIABILITY TO YOU, EXCEPT FOR SOCIALGlob'S CONTRACTUAL PAYMENT OBLIGATIONS UNDER THIS (IF ANY), MAY NOT EXCEED THE AMOUNTS YOU PAID TO SocialGlob IN THE COURSE OF TWELVE (12) MONTHS BEFORE YOUR CLAIM (S) OR HUNDRED DOLLARS (USD $ 100), WHATEVER IS GREATER.

IN THE CASE OF A FREE ACCOUNT NOTHING WILL BE DUE.

11. Disputes, Arbitration and Choice of Law
If for any reason you are dissatisfied with our Services, please contact us first so that we can try to resolve your issues without the need for outside assistance.

11.1 Choice of law
Any disputes relating to this Agreement or your use of our Services will be governed by international law (in relation to matters of jurisdiction such as copyright), without regard to the principles of conflict of law. The arbitration agreement in Section 11.3 will be governed by the Arbitration Law.

11.2 Choice of the location of the dispute; Exemption from the jury trial
Except for matters that need to be arbitrated (as set out below), you and SocialGlob agree that any action relating to this Agreement or your use of our Services must be brought in the Division of a court chosen by SOCIALBLOB; you consent to the exclusive jurisdiction of such courts, chosen by SocialGlob. IN ANY ACTION OF THE KIND, SocialGlob AND YOU ARE IRREVOCABLE WAIVER OF ANY RIGHT TO A JURY TRIAL.

11.3 Arbitration of Privacy Claims; Exemption from collective action
The sole means of resolving any Covered Privacy Complaint (defined below) will be BINDING ARBITRATION. The arbitration will be administered under the arbitration rules and procedures, as amended by our Arbitration Procedures. If you are a consumer, you can request that the arbitration hearing be held in the area where you reside. Otherwise, the hearing (if any) will take place in the jurisdiction chosen by SocialGlob. EACH PARTY WAIVES THE RIGHT TO GO TO COURT, JURY TRIAL, AND PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR OTHER REPRESENTATIVE PROCEDURE IN CONNECTION WITH ANY COVERED PRIVACY CLAIM.
Overview: Arbitration provides a private dispute resolution process that is usually leaner and less formal than litigation. In an arbitration, your rights will be determined by a neutral third party called the arbitrator and not a judge or jury. Both you and SocialGlob are entitled to fundamentally fair proceedings at every stage of the arbitration, including the hearing. The arbitrator will decide on all matters relating to the dispute, including the matter of arbitration, and may grant any remedy that a court might grant. Arbitrator decisions are enforceable in court and can only be overturned by a court for very limited reasons. For details on the arbitration process, see our Arbitration Procedures.

Definitions: A "Covered Privacy Claim" means any dispute or claim arising out of or relating to (a) SocialGlob's collection, use, storage, analysis or transfer of your personal information; (b) an alleged violation of our Privacy Policy; (c) an alleged data breach or unauthorized disclosure of data or content; or (d) an allegation that SocialGlob has failed to comply with any privacy or data security rights or obligations. "Personal Information" means any information about you, including info registration information (e.g. email address), payment information, location information, device information, identifiers or biometric information, IP address and activity (including viewing and search history), but does not include the content you upload (except to the extent that the content contains personal information about you).

Small Claims Tribunal Exception: Notwithstanding the foregoing, each party has the right to file an individual covered privacy claim against the other in a Small Claims Court of competent jurisdiction under Rule 1 of the minimum consumption standards. If a party files arbitration that could be litigation in that Small Claims Court, the responding party may request that the dispute proceed to a Small Claims Court. If the respondent requests to proceed with the Small Claims Court prior to the appointment of the arbitrator, the arbitration is administratively closed. If requested after the appointment of the arbitrator, the arbitrator closes the arbitration administratively as long as the proceedings are at an early stage and no hearing has taken place.
General provisions
Reservation of rights, severability: SocialGlob reserves all rights not expressly granted in this document. SocialGlob's rights and remedies are cumulative. No failure or delay by SocialGlob in exercising any right will result in the waiver of any further exercise of this right. If any term of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that term will be limited or terminated.

Force Majeure: SocialGlob will not be responsible for any delays or failures caused by (a) force majeure / natural disasters (including hurricanes and earthquakes); (b) disease, epidemic or pandemic; (c) terrorist attack, civil war, civil unrest or riots, armed conflict, sanctions or embargoes; (d) nuclear, chemical or biological contamination; (e) building collapse, fire, explosion or accident; (f) trade union or trade strikes; (g) interruption, loss or malfunction of a public utility, transport or telecommunications service; (h) any order from a government or public authority, including quarantine, travel restrictions or other prohibitions; or (i) any other circumstance not under the reasonable control of SocialGlob, foreseeable or not (each a "force majeure event"). In the event of a force majeure event, SocialGlob will be exempted from full fulfillment of the contractual obligation until the event has passed or no longer prevents its fulfillment.

Relationship: You and SocialGlob are independent contractors of each other; neither party is an agent, partner or joint venture of the other. This Agreement binds the parties and their successors, personal representatives and authorized assigns. You may not assign this Agreement to any person whose account has been closed by SocialGlob or who are prohibited from registering; this assignment will be void. Except as expressly stated herein, nothing in this Agreement confers any rights on any third party.

These Conditions constitute the entire agreement between you and SocialGlob.com in relation to the use of the Products and supersede any previous agreement.
Some of the Products we offer are also governed by additional terms. In case of use of one of the Products in question, the user will be offered the possibility to accept the additional conditions that will become part of the contract with the user. For example, if you access or use the Products for commercial or business purposes, such as buying advertisements, selling products, developing apps, managing a group or a Page for your company or using the services of measurement, you must accept our Terms of Business. If you post or share music content, you must comply with our Music Guidelines. In the event of a conflict between these Terms and any additional terms, the latter will apply in the context of the conflict.
If any part of these Conditions proves to be unenforceable, the inapplicable part will be deemed amended to the minimum extent necessary to make it enforceable, while if it cannot be made enforceable, then it will be excluded and the remainder of these Conditions will remain valid and continue to have effect. . Failure to enforce any part of these Terms does not in any way constitute a waiver. Any modification or waiver of these Terms must be made in writing and signed by SocialGlob.
The user will not transfer any of the your rights or obligations specified in these Terms to anyone else without the consent of SocialGlob.
The user can appoint a person to manage his commemorative account. If the user provides this in his settings, only an heir contact or a designated person in a valid will or similar legal document that expresses clear consent to the disclosure of content in the event of death or incapacity may request limited disclosure. of information from the user's account, once made commemorative.
These Conditions do not confer any rights on third party beneficiaries. All SocialGlob rights and obligations specified in these Terms may be freely assigned by SocialGlob in the event of a merger, acquisition or sale of assets or through a legal transaction or other transaction.
In some circumstances, we may need to change an account username (for example: if a subject claims it and the username does not appear to be related to a real name).
We always appreciate your feedback and suggestions regarding our products and services. However, we may use such feedback and suggestions without limits or obligations to pay you and we are under no obligation to keep them confidential.
If the ownership or control of all or part of our Products or related assets changes, we may transfer your information to the new owner.

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior understandings regarding the subject matter of this Agreement and may not be amended except in accordance with Section 1 or in a document signed by authorized representatives of SocialGlob . If you have a signed agreement with SocialGlob, any conflicting terms of that agreement will prevail over the terms of this agreement, but only with respect to the subject matter of that agreement.
